1. Introduction and Acceptance

These Terms of Service ("Agreement") are a binding contract between you ("Customer," "you," or "your") and DirectoryDuck ("DirectoryDuck," "Company," "we," "us," or "our"). This Agreement governs your access to and use of our services, including our platform, API, embeddable widgets, and any related features (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. If you are accepting this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to this Agreement.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.

2. Service Description

DirectoryDuck is an operational backend platform for running directory businesses. Our Services include:

  • Dashboard — A web-based interface for managing directories, listings, reviews, and settings
  • Listings CRM — Tools to import, organize, track, and manage directory listings
  • Review System — Collection, moderation, and display of customer reviews
  • Verification Engine — Methods to verify business ownership and authenticity
  • Embeddable Widgets — JavaScript components that display reviews, ratings, and verified badges on external websites
  • API Access — Programmatic access to your directory data
  • AI Enrichment — Automated data enrichment using third-party web scraping and AI extraction services

3. Account Terms

3.1 Eligibility

You must be at least 18 years old to use the Services. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement.

3.2 Account Registration

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.3 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

3.4 Authorized Users

You may permit employees, consultants, contractors, and agents ("Authorized Users") to access and use the Services under your account. You are responsible for all acts and omissions of your Authorized Users.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use the Services only for lawful purposes and in accordance with this Agreement. The Services are intended for operating legitimate directory businesses.

4.2 Prohibited Activities

You agree NOT to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
  • Circumvent, disable, or otherwise interfere with any security features of websites being accessed through our AI Enrichment features
  • Scrape, collect, or harvest data from websites that prohibit such activities in their terms of service
  • Use the Services to collect, process, or store protected health information (PHI) without appropriate agreements
  • Use the Services for spam, phishing, or distributing malware
  • Create fake reviews, manipulate ratings, or engage in fraudulent activities
  • Violate the intellectual property rights of any third party
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the Services to benefit any government intelligence agency
  • Reverse engineer, decompile, or disassemble any portion of the Services
  • Resell, sublicense, or transfer access to the Services without our written consent

4.3 Your Responsibility for AI Enrichment

You are solely responsible for ensuring your use of AI Enrichment features complies with all applicable laws and the terms of service of any websites being accessed. DirectoryDuck uses third-party services to scrape publicly available website content for data enrichment purposes. You acknowledge that:

  • You will only enrich listings for which you have a legitimate business purpose
  • You will not use AI Enrichment to circumvent technological protection measures
  • You accept all responsibility for the legality of data collected through enrichment
  • The availability and accuracy of enriched data is not guaranteed

5. Third-Party Services

5.1 Service Providers

DirectoryDuck utilizes various third-party service providers to deliver the Services, including but not limited to:

  • Firecrawl — Web scraping and data extraction for AI Enrichment features
  • Anthropic (Claude) — AI-powered data extraction and processing
  • Supabase — Database, authentication, and storage infrastructure
  • Stripe — Payment processing
  • Vercel — Application hosting
  • Resend — Transactional email delivery

5.2 Third-Party Disclaimer

WE DO NOT GUARANTEE THE ACCURACY, AVAILABILITY, COMPLETENESS, OR LEGALITY OF DATA OBTAINED THROUGH THIRD-PARTY ENRICHMENT SERVICES. Third-party services are subject to their own terms of service and privacy policies. We are not responsible for:

  • The timeliness, accuracy, or propriety of data obtained from third parties
  • Service interruptions or failures of third-party providers
  • Changes to third-party service terms or capabilities
  • Any damages arising from your reliance on third-party data or services

6. Intellectual Property

6.1 DirectoryDuck IP

DirectoryDuck owns all right, title, and interest in and to the Services, including all intellectual property rights. Nothing in this Agreement grants you any rights to our trademarks, logos, or other brand features.

6.2 Customer Data

You retain all ownership rights in and to the data, content, and information you submit to the Services ("Customer Data"). You grant DirectoryDuck a non-exclusive, worldwide, royalty-free license to use, process, and display Customer Data solely to provide the Services to you.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback without any obligation to you.

7. User-Generated Content

7.1 Listings and Reviews

You are solely responsible for all listings, reviews, and other content created, imported, or processed through your account. You represent and warrant that you have all necessary rights and permissions for such content.

7.2 Review Authenticity

You agree to collect and display only authentic reviews from real customers. Fabricating, manipulating, or incentivizing fake reviews is strictly prohibited and may result in account termination.

7.3 DMCA Compliance

We respect intellectual property rights and expect our users to do the same. If you believe that content on the Services infringes your copyright, please contact us at legal@directoryduck.com with:

  • A description of the copyrighted work
  • The location of the allegedly infringing content
  • Your contact information
  • A statement of good faith belief that the use is not authorized
  • A statement under penalty of perjury that the information is accurate
  • Your physical or electronic signature

8. Fees and Payment

8.1 Subscription Fees

Certain features of the Services require payment of subscription fees. Current pricing is available on our website. Fees are billed in advance on a monthly or annual basis, depending on your subscription plan.

8.2 Payment Processing

All payments are processed through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred.

8.3 Refund Policy

We offer a 14-day money-back guarantee on all paid plans. Refund requests made within 14 days of initial purchase will be honored. After this period, fees are non-refundable. You may cancel your subscription at any time, and your access will continue until the end of your current billing period.

8.4 Taxes

All fees are exclusive of taxes. You are responsible for paying all applicable taxes, and we may collect such taxes if required by law.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • AI Enrichment data will be accurate, complete, or current
  • The Services will meet your specific requirements
  • Any defects will be corrected

We do not endorse, verify, or guarantee the accuracy of any listings displayed through the Services. Directory operators are responsible for verifying and maintaining the accuracy of their listings.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIRECTORYDUCK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless DirectoryDuck and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your Customer Data
  • Your violation of this Agreement
  • Your violation of any rights of a third party
  • Your use of AI Enrichment features

12. Termination

12.1 Termination by You

You may cancel your account at any time through the account settings or by contacting us. Your access will continue until the end of your current billing period.

12.2 Termination by Us

We may suspend or terminate your access to the Services immediately, without prior notice, if we believe you have violated this Agreement or for any other reason at our sole discretion.

12.3 Effect of Termination

Upon termination:

  • Your right to use the Services immediately ceases
  • Embeddable widgets will stop functioning
  • You may export your Customer Data within 30 days of termination
  • We may delete your data after the 30-day period
  • Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination

13. Governing Law and Dispute Resolution

13.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

13.2 Arbitration

Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in San Francisco, California. The arbitrator's decision shall be final and binding.

13.3 Arbitration Opt-Out

You may opt out of arbitration by sending written notice to legal@directoryduck.com within 30 days of accepting this Agreement. If you opt out, disputes will be resolved in the state or federal courts of California.

14. Class Action Waiver

YOU AND DIRECTORYDUCK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.

15. Changes to Terms

We may modify this Agreement at any time. We will provide notice of material changes by email or through the Services at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the modified terms.

16. General Provisions

16.1 Entire Agreement

This Agreement constitutes the entire agreement between you and DirectoryDuck regarding the Services and supersedes all prior agreements and understandings.

16.2 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign your rights or obligations under this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets.
